Terms and Conditions

1. General Information

These Terms and Conditions ("Terms") govern access to and use of the Nivlo platform, available at nivlo.com and nivlo.app, including all associated services, applications, and features. Nivlo is operated by Teachels Media SRL, a company registered in Romania under number J07/479/2020, tax identification code RO43112733.

By accessing or using Nivlo, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Definitions

  • Platform — the Nivlo application, website (nivlo.com, nivlo.app), APIs, and all associated services.
  • User — any person who accesses or uses the Platform under an account.
  • Owner — the person who creates and manages an account, responsible for billing and administration.
  • Content — any files, data, text, images, videos, or other materials uploaded, stored, or processed through the Platform.
  • Service — the digital content management, storage, and distribution functionality provided by the Platform.

3. Account and Access

  • A valid email address is required to create an account.
  • Each account has one Owner who is responsible for all activity under that account.
  • The Owner may invite an unlimited number of Users to the account.
  • We reserve the right to suspend or terminate accounts that violate these Terms, applicable law, or that pose a security risk to the Platform or other users.

4. Acceptable Use

You agree to use the Platform in compliance with all applicable laws and regulations. The following activities are strictly prohibited:

  • Uploading, storing, or distributing illegal, defamatory, or infringing content.
  • Distributing malware, viruses, spam, or any harmful software.
  • Attempting unauthorized access to the Platform, other accounts, or related systems.
  • Reselling, sublicensing, or redistributing Platform access without written consent.
  • Abusing the Platform in any way that degrades performance or availability for other users.

5. Payments and Billing

  • Nivlo offers monthly and annual subscription plans. Payment is due in advance.
  • Invoices are generated automatically and delivered electronically.
  • Refunds are processed in accordance with applicable Romanian and EU consumer protection law.
  • For annual plans, cancellations within the first 14 days are eligible for a pro-rata refund.
  • Additional storage is available at €10 per 100 GB per month.
  • Annual plans benefit from a 20% discount compared to monthly billing.

6. Intellectual Property

The Nivlo platform, including its design, code, features, and branding, is the exclusive property of Teachels Media SRL. All rights are reserved.

Content uploaded by Users remains the property of the respective User or rights holder. By uploading Content, you grant Teachels Media SRL a limited, non-exclusive license solely for the purpose of delivering and operating the Service (e.g., storage, rendering, distribution as configured by the User).

7. Availability and Limitation of Liability

  • We make reasonable efforts to ensure 24/7 availability but do not guarantee 100% uptime.
  • The Platform is provided "as is" without warranties of any kind, express or implied.
  • Our total liability is limited to the amounts paid by you in the 12 months preceding the event giving rise to the claim.
  • We are not responsible for indirect, incidental, or consequential losses, including loss of data, revenue, or business opportunities.

8. Termination

  • You may terminate your account at any time from your account settings.
  • Upon termination, your data will be retained for 30 days to allow recovery, after which it will be permanently deleted.
  • Teachels Media SRL may terminate or suspend your account with 7 days' prior notice, except in cases of serious or repeated violations where immediate action may be taken.

9. Amendments

We may update these Terms from time to time. For significant changes, we will provide at least 30 days' notice via email or in-app notification. Continued use of the Platform after the notice period constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes shall be submitted to the competent Romanian courts. Where applicable, mediation may be pursued prior to litigation.
